TERMS OF SERVICE

These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "User") and THRIVE MONEY INC, a Delaware corporation ("Thrive," "we," "us," or "our"). These Terms govern your access to and use of our websites, mobile applications, and related services under the brand Thrive (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, OR BY CLICKING "I AGREE," YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree, do not use the Service.

ARBITRATION NOTICE (SECTION 18): These Terms include an arbitration agreement and class action waiver that affect your rights. You may opt out within 30 days of first accepting these Terms.

1. Definitions

"Account Data" means financial account information made available from your financial institutions or other third-party sources you choose to connect (e.g., balances, transactions, merchant names, categories, and metadata).

"Connected Account" means a financial account you link to the Service through a third-party integration provider (such as Plaid or similar providers).

"Third-Party Providers" means companies that provide services we use to operate the Service (including financial data aggregation providers, cloud hosting, analytics, payment processors such as Stripe, and AI/LLM providers).

"AI Features" means features that use machine learning or large language models to generate responses, explanations, summaries, or insights.

"Derived Data" means calculations or abstractions derived from Account Data (for example: category totals, budget performance, cashflow summaries, trends, and similar aggregated outputs).

2. The Service

2.1 What Thrive Provides

Thrive is a personal finance and budgeting tool intended to help you organize and understand your finances. The Service may allow you to:

  • Connect read-only financial accounts through third-party providers;
  • View transactions, balances, and budgeting insights;
  • Create budgets, categories, rules, and other organizational structures; and
  • Use optional AI Features to ask questions and receive insights based on available data.

2.2 Read-Only; No Money Movement

The Service is designed to be read-only with respect to Connected Accounts. We do not initiate transfers, move funds, execute transactions, or provide banking services through the Service.

2.3 Not Financial Advice

Thrive is not a bank, broker-dealer, registered investment adviser, tax advisor, law firm, or accounting firm. The Service provides informational tools. Nothing in the Service constitutes financial, investment, legal, tax, or accounting advice. You are responsible for your decisions and should consult qualified professionals as needed.

3. Eligibility

You may use the Service only if:

  1. You are at least 18 years old (or the age of majority where you live, if higher);
  2. You can form a binding contract; and
  3. You are not prohibited from using the Service under applicable law.

4. Account Registration and Security

4.1 Account Creation

You may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated.

4.2 Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized access at support@thrivemoney.ai.

4.3 Account Non-Transferability

Your account is personal to you and may not be sold, transferred, or assigned without our written consent.

5. Connecting Financial Accounts; Authorization

5.1 Third-Party Connections (e.g., Plaid)

To connect financial institutions, we use Third-Party Providers. Your use of those providers is subject to their own terms and privacy practices, and we are not responsible for their actions or omissions.

5.2 Your Authorization

By linking a Connected Account, you authorize Thrive and our Third-Party Providers to access and retrieve your Account Data from the sources you designate, and to refresh that Account Data as needed to provide the Service.

You acknowledge and agree that:

  • We access data at your request and on your behalf;
  • We do not control the underlying financial institution systems; and
  • Account Data availability may be interrupted or limited.

5.3 Accuracy and Availability

We do not guarantee that Account Data will be available, correct, complete, or timely. If you believe data is inaccurate, verify with your financial institution.

5.4 Revoking Access

You can typically revoke access by disconnecting your Connected Account within the Service and/or through the relevant Third-Party Provider (if available). Some information may remain stored as described in Section 8.

6. Acceptable Use and Prohibited Conduct

You agree you will not (and will not allow anyone else to):

  1. Use the Service for any unlawful purpose or in violation of law;
  2. Reverse engineer, decompile, or attempt to discover source code or underlying components of the Service;
  3. Circumvent security or access controls;
  4. Scrape, crawl, or systematically extract data from the Service;
  5. Interfere with or disrupt the Service, servers, or networks;
  6. Upload malware or harmful code;
  7. Use the Service to build a competing product;
  8. Misrepresent affiliation with Thrive; or
  9. Use AI Features or outputs to develop, train, or improve any AI/ML model, or attempt model extraction/exfiltration attacks.

We may suspend or terminate access for violations (see Section 15).

7. AI Features; LLM Processing; No Training

7.1 Optional AI Features

The Service may include AI Features that allow you to ask questions and receive responses about budgeting patterns and financial organization.

7.2 Data Used for AI Features

To provide AI Features, we may send an AI provider:

  • Derived Data (aggregated/abstracted calculations), and
  • limited contextual data necessary to respond to your prompt.

We design AI Features to avoid transmitting sensitive identifiers where feasible (for example, full account numbers or login credentials). You are responsible for what you type into prompts.

7.3 No Training on Your Data

We do not use your Account Data, AI prompts, or AI outputs to train our own models. Where we use third-party AI providers, we seek to use configurations and contractual commitments designed so that data processed for AI Features is not used to train those external models.

7.4 AI Output Disclaimers

AI output may be inaccurate, incomplete, or misleading. You agree:

  • AI output is not professional advice;
  • You will independently verify important information; and
  • You assume all risk of decisions made based on AI output.

8. Privacy and Data Handling

8.1 General Data Practices

Thrive collects and uses information to provide the Service, including Account Data you authorize us to retrieve, and information you provide (such as budgets, categories, and settings).

8.2 No Sale of Personal Data

Thrive does not sell your personal information in the ordinary meaning of that term.

8.3 Security

We use administrative, technical, and physical safeguards designed to protect information. No system is perfectly secure, and you acknowledge you use the Service at your own risk.

8.4 Privacy Policy Coming Soon

We intend to publish a separate Privacy Policy. Once published, it will apply to your use of the Service and be incorporated into these Terms by reference. Until then, this Section 8 describes our baseline privacy commitments for the Service.

9. License to Use the Service

Subject to your compliance with these Terms, Thrive grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use.

10. User Content; Feedback

10.1 Your Content

Information you submit through the Service (including budgets, notes, tags, rules, categories, and prompts) is "User Content." You retain ownership of your User Content.

10.2 License to Operate the Service

You grant Thrive a worldwide, non-exclusive, royalty-free license to host, store, process, use, and display User Content only as necessary to provide, maintain, and improve the Service, consistent with these Terms.

10.3 Feedback

If you provide suggestions or feedback, you agree Thrive may use it without restriction or compensation.

11. Billing, Subscriptions, and Payments (Stripe)

11.1 Plans and Pricing

Thrive offers paid subscriptions currently priced at:

  • $10 per month, billed monthly; or
  • $70 per year, billed annually.

Prices may change prospectively as described in Section 11.7.

11.2 Payment Processor

Payments are processed through Stripe (a Third-Party Provider). By subscribing, you agree that:

  • You will provide accurate payment information;
  • You authorize Thrive (via Stripe) to charge your selected payment method; and
  • Your payments may also be governed by Stripe's terms and privacy practices.

11.3 Auto-Renewal

Subscriptions automatically renew unless cancelled before the renewal date. By starting a subscription, you authorize recurring charges:

  • Monthly plan: charged every month;
  • Annual plan: charged every year.

11.4 Taxes

Subscription fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes, and we may collect them where required.

11.5 Cancellation

You may cancel at any time through your account settings or by contacting support@thrivemoney.ai. Cancellation stops future renewals, but does not retroactively refund previously paid amounts (subject to Section 11.6 and applicable law). You will continue to have access through the end of the current billing period.

11.6 Refund Policy

All fees are non-refundable except where required by law or where Thrive, in its sole discretion, provides a refund. If you believe you were charged in error, contact support@thrivemoney.ai promptly.

11.7 Price Changes

We may change subscription prices prospectively. If your price changes, we will provide reasonable notice (such as email or in-app notice) before the new price takes effect at your next renewal.

11.8 Failed Payments

If a charge fails, we may retry payment, and we may suspend or terminate access until payment is received.

12. Third-Party Services and Links

The Service may integrate with or link to third-party services. Thrive does not control and is not responsible for third-party content, services, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

13. Intellectual Property

The Service, including software, design, text, graphics, and logos, is owned by Thrive or its licensors and is protected by law. You may not use Thrive trademarks without written permission.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." Thrive disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and availability.

We do not warrant that:

  • the Service will be uninterrupted or error-free;
  • Account Data will be accurate or timely; or
  • AI outputs will be accurate, complete, or suitable for any purpose.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  1. Thrive will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption.
  2. Thrive's total liability for any claim arising out of or relating to the Service will not exceed the greater of:
    • $100, or
    • the amount you paid Thrive for the Service in the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Suspension; Termination

16.1 Your Right to Stop Using the Service

You may stop using the Service at any time.

16.2 Thrive's Right to Suspend/Terminate

We may suspend or terminate your access if we believe you violated these Terms, pose a security risk, or if required by law. We may also modify or discontinue the Service at any time.

16.3 Effect of Termination

Upon termination, your license ends. Sections that by their nature should survive will survive, including Sections 10, 13–20.

17. Electronic Communications

By using the Service, you consent to receive communications electronically (email, in-app notices). You agree such communications satisfy legal "writing" requirements.

18. Arbitration Agreement; Class Action Waiver (U.S. Users)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

18.1 Agreement to Arbitrate

Except as described in Section 18.2, any dispute or claim arising out of or related to these Terms or the Service will be resolved by binding, individual arbitration and not in court.

18.2 Exceptions

Either party may:

  • Bring an individual claim in small claims court (if eligible); and
  • Seek injunctive or equitable relief for unauthorized access, misuse, fraud, or intellectual property infringement.

18.3 Arbitration Administrator and Rules

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitrator has authority to award any relief that would be available in court to the extent permissible.

18.4 Location and Format

If you reside in the United States, you may choose to have arbitration conducted:

  • in your county of residence (where AAA rules allow),
  • by videoconference, or
  • based on written submissions,

subject to AAA rules and the arbitrator's discretion.

18.5 No Class Actions

You and Thrive agree that disputes will be brought only on an individual basis. Class actions, class arbitrations, and representative proceedings are not permitted.

18.6 Opt-Out (30 Days)

You may opt out of arbitration by emailing support@thrivemoney.ai within 30 days of first accepting these Terms. Your email must include:

  • your full name,
  • the email address associated with your Thrive account, and
  • a clear statement that you wish to opt out of arbitration.

If you opt out, Section 19 (Governing Law and Venue) applies.

19. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

If Section 18 (arbitration) does not apply to a dispute, you agree that any court proceedings will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there.

20. Miscellaneous

  • Entire Agreement: These Terms are the entire agreement regarding the Service.
  • Severability: If any provision is unenforceable, the remainder remains in effect.
  • No Waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without Thrive's consent. Thrive may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Thrive is not liable for delays or failures beyond its reasonable control.
  • Headings: Headings are for convenience only and do not affect interpretation.
